Form 8865: foreign partnerships

Form 8865 is the return for U.S. persons with interests in certain foreign partnerships, covering filer categories, definitions, schedules and related forms.

What Form 8865 reports

The IRS describes Form 8865 as an information return covering controlled foreign partnerships, property transfers to foreign partnerships, and acquisitions, dispositions or changes in partnership interests under sections 6038, 6038B and 6046A.[2]

The instructions require a U.S. person within at least one filer category to complete the form, with the applicable statements and schedules determined by category.[2]

They call for a separate return and applicable schedules for each foreign partnership, and all category-specific items when several categories apply to the same partnership.[2]

Who the filer categories cover

The instructions organize filing requirements into four categories, based on control and ownership, on contributions, or on reportable changes in interests.[2]

  • Category 1 covers a U.S. person controlling the partnership at any point in its tax year, with control defined as ownership exceeding 50%.[2]
  • Category 2 covers a U.S. person holding at least 10% while U.S. persons, each holding at least 10%, control the partnership, except that no Category 2 filer exists if the partnership has a Category 1 filer at any point in that tax year.[2]
  • Category 3 includes a U.S. person contributing property in exchange for an interest if direct or constructive ownership immediately afterward reaches 10%, or contributions by that person and related persons exceed $100,000 over the 12-month period ending with the transfer.[2]
  • Category 4 covers reportable acquisitions and dispositions, as well as proportional-interest changes, including crossing upward to a direct interest of at least 10%, falling below 10%, or an increase or decrease equivalent to a 10% interest measured against the last reportable event.[2]

Categories 1 and 3 also contain specified section 721(c) reporting requirements for U.S. transferors, while Category 3 extends to certain partnership dispositions of previously contributed appreciated property when the transferor remains a direct or indirect partner.[2]

Definitions used in the instructions

A U.S. citizen falls within the instructions' definition of a U.S. person, which also includes residents, domestic partnerships, domestic corporations, and estates or trusts that are not foreign.[2]

A partnership involves two or more persons carrying on a business, contributing money, property, labor or skill, and expecting to share profits and losses, whether a formal agreement exists or not.[2]

The general foreign-partnership definition concerns a partnership formed outside the United States and outside federal, state or District of Columbia law.[2]

Constructive ownership generally attributes entity-held interests proportionately to owners, partners or beneficiaries, and family attribution includes spouses, siblings, ancestors and lineal descendants.[2]

Attribution from a nonresident alien family member applies only when the recipient already holds a direct or indirect partnership interest under section 267(c)(1) or (5).[2]

Information and schedules requested

Form 8865 requests ownership and financial information through category-specific entries and schedules, including liability shares in item C and functional currency in item G8a.[2]

When no partnership EIN is entered, item G2(b) requires a reference ID assigned by or for the U.S. person; the instructions describe it as an identifier that tracks the partnership across tax years.[2]

  • Schedule A records direct and constructive ownership for all filers.[2]
  • Schedule K summarizes partnership income, deductions and credits for Category 1 filers, while Schedule K-1 reports a particular partner's share.[2]
  • Schedule O covers Category 3 transfers and requests descriptions, fair market values, adjusted bases and recognized gain, if any.[2]
  • Schedule P records acquisitions, dispositions and changes in partnership interests.[2]

Connections with other IRS forms

Category 1 and 2 filers may substitute completed equivalent Form 1065 schedules when the foreign partnership files Form 1065 for its tax year.[2]

For those categories, the instructions require an attached Form 8858 if the partnership owns a foreign disregarded entity for tax purposes or operates a foreign branch.[2]

Item E connects Form 8865 with Form 8938 when the filer also files Form 8938 and includes this return in the count reported in Part IV, line 19.[2]

Filing timing

The instructions tie Form 8865 to the income tax return deadline, including extensions, and direct that it accompany that return or the applicable partnership or exempt organization return.[2]

For a person without an income tax return filing requirement, they specify separate filing at the time and place the applicable return would otherwise be due.[2]

Questions and answers

Does U.S. citizenship alone trigger Form 8865?

Citizenship places an individual within the U.S. person definition. The filing rule also requires qualification under at least one filer category.[2]

Does every Category 1 or 2 filer complete Schedule K-1?

The instructions require it for a direct interest held by the filer. They exempt Category 1 or 2 filers without a direct interest from that schedule.[2]

Can one contribution fall within Categories 3 and 4?

A contribution exchanged for an interest of at least 10% can qualify under both categories. Proper Category 3 reporting removes the requirement to report that transaction under Category 4, while the acquisition still counts when measuring later reportable changes.[2]

Does a domestic partnership's contribution create reporting for its partners?

The instructions attribute proportionate shares of the contributed property to those partners. Partners need not report the transfer if the domestic partnership files Form 8865 and properly reports all required contribution information.[2]
